The rules for using Modon Express. Please read these terms carefully before using our platform.

Introduction

Welcome to Modon Express, a B2B e-commerce marketplace connecting manufacturers and buyers in Saudi Arabia.

These Terms of Service ("Terms") govern your access to and use of the Modon Express platform, including our website, mobile applications, and and all related services (collectively, the "Platform").

  • By using the platform, you agree to comply with these Terms and all applicable Saudi laws and regulations.
  • If you disagree with any part of the Terms, please do not use the platform.
  • These Terms apply to Buyers, Sellers (Manufacturers/Merchants), and Visitors.

Acceptance of Terms

You accept these Terms when you register an account, click to accept, or otherwise use any part of the platform.

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email and in-platform notification. Continued use after an update constitutes acceptance of the new Terms.

If you do not agree with the updated Terms, you must stop using the Platform and may request account deletion within the notice period.

Eligibility

  • You must have legal capacity under Saudi law to enter into binding contracts.
  • Businesses must hold valid commercial registration (CR) and any required licenses for their activities. Sellers must additionally provide VAT registration certificate and industrial license (if applicable).
  • We may request verification documents (e.g., CR, VAT certificate, licenses, authorized signatory proof) and may suspend accounts that fail verification or provide false information.

Accounts and Security

Account holders are responsible for all activities under their credentials. Each account must represent a single legal entity or individual.

Account Responsibilities

  • Provide accurate, current, and complete information during registration and keep it updated.
  • Maintain the confidentiality of login credentials and restrict account access to authorized personnel only.
  • Notify us immediately of any unauthorized access, security breach, or credential compromise.
  • Do not impersonate another person, business, or misrepresent your affiliation.

Security Controls

  • We may implement MFA or other security controls; you agree to comply with them.
  • We may suspend or disable accounts to protect security, investigate fraud, or comply with law.
  • We reserve the right to require re-verification of identity documents at any time.
  • You are responsible for all actions taken through your account, including actions by employees or authorized users.

Permitted Use of the Platform

For Buyers

  • Submit purchase inquiries, RFQs, and orders in good faith with genuine intent to purchase.
  • Use accurate shipping, billing, and tax information.
  • Honor payment obligations and agreed delivery/acceptance processes.

For Sellers (Manufacturers/Merchants)

  • List products/services truthfully with accurate specifications, pricing, and real-time availability.
  • Fulfill orders on time and to agreed quality standards.
  • Comply with product safety, labeling, SASO standards, and regulatory requirements in Saudi Arabia.

Prohibited Activities

  • Fraudulent, misleading, or deceptive conduct (including fake listings or bids).
  • Infringing, harmful, or unlawful content; violations of IP, privacy, or publicity rights.
  • Security abuse (malware, scraping at scale, DDoS, circumventing access controls).
  • Payment abuse, money laundering, terrorist financing, or sanction violations.
  • Using the platform for personal/consumer use where B2B is required.
  • Using bots, AI scrapers, or automated tools to extract data without written permission.
  • Manipulating platform algorithms, search results, or ranking mechanisms.

Orders, Pricing, and Payments

  • Orders are offers; acceptance occurs when confirmed by the Seller (or by us if we act as facilitator).
  • Pricing, taxes, shipping, and fees are shown at checkout or in order confirmations. All prices are in Saudi Riyal (SAR) unless otherwise stated
  • Payments are processed by our PSP partners (MyFatoorah); you agree to their terms and to provide accurate billing details.
  • Invoices and receipts will be issued electronically. Keep records for compliance purposes.
  • Cancellations, returns, or modifications follow the applicable policy or mutual agreement between Buyer and Seller.

Fees and Commissions

We charge commissions, subscription fees, or service fees for certain features. All fees are in Saudi Riyal (SAR) and exclusive of VAT.

  • Applicable fees will be displayed before you commit to a transaction or plan.
  • Fees are non-refundable unless explicitly stated otherwise.
  • We may set off unpaid fees against payouts or suspend services for non-payment.
  • We reserve the right to modify fees with 30 days' notice. Continued use after fee changes constitutes acceptance.

Content, Licenses, and Intellectual Property

Your Content

  • You retain ownership of content you submit (e.g., listings, media, descriptions, logos).
  • You grant us a non-exclusive, worldwide, royalty-free license to host, display, translate, and distribute your content as needed to operate the platform.
  • You represent that you have the rights to submit the content and that it does not infringe third-party rights.

Platform Content

  • All platform code, design, text, graphics, logos, and trademarks are owned by Modon Express or its licensors.
  • You may not copy, modify, reverse engineer, or create derivative works except as allowed by law.
  • Use of our trademarks or branding requires our prior written consent.

Infringement Claims

  • Report alleged IP infringements via the contact details below with sufficient detail to investigate.
  • We may remove or disable content suspected of infringement and may suspend repeat offenders.

Data Protection and Privacy

Our processing of personal data is governed by our Privacy Policy and Saudi PDPL.

By using the platform, you acknowledge that data will be processed as described in the Privacy Policy, including security, retention, and rights mechanisms.

Compliance and Audit

  • You will comply with all applicable Saudi laws (commerce, tax, AML/CFT, sanctions, product regulations, data protection).
  • You will provide documentation reasonably requested for KYC/AML, tax, or regulatory compliance within 5 business days.
  • We may suspend or terminate access to comply with legal obligations or enforcement requests.
  • We reserve the right to audit seller inventory, pricing, and compliance with platform policies.
  • Sellers must maintain records of all transactions for at least 10 years as required by Saudi commercial law.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to:

  • Acts of God (natural disasters, earthquakes, floods, pandemics, epidemics).
  • War, terrorism, civil unrest, riots, or military actions.
  • Government actions, changes in law, trade embargoes, or sanctions.
  • Internet or telecommunications failures, cyber attacks not caused by the affected party.
  • Labor strikes, lockouts, or industrial disputes.
  • Supply chain disruptions or raw material shortages beyond reasonable control.
  • Fire, explosion, or damage to essential facilities.

The affected party must notify the other party within 5 business days of the force majeure event. If the event continues for more than 60 days, either party may terminate the affected orders or services without penalty.

Warranties and Disclaimers

The platform is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted service, error-free operation, or that listings are accurate or available. We are not responsible for the quality, safety, or legality of products listed by sellers.

Except as required by law, we disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

  • To the extent permitted by law, we are not liable for indirect, consequential, incidental, special, or punitive damages, or lost profits/revenue, even if advised of the possibility.
  • Our aggregate liability for any claim relating to the platform will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim.
  • Nothing limits liability for death, personal injury, fraud, willful misconduct, or any liability that cannot be limited or excluded under Saudi law.
  • You acknowledge that sellers are independent businesses; we are not liable for their actions, products, or services.

Indemnification

You agree to indemnify and hold Modon Express, its affiliates, and personnel harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, violation of law, or infringement of third-party rights.

  • Your breach of these Terms or any applicable law.
  • Your use of the Platform, including any content you submit.
  • Your products, services, or business practices.
  • Infringement of third-party intellectual property or other rights.
  • Any dispute between you and another user.
  • Your violation of Saudi regulatory requirements or standards.

Suspension and Termination

  • You may stop using the platform at any time. Some obligations (e.g., payment of due fees, confidentiality, IP) survive termination.
  • We may suspend or terminate access for breach of these Terms, non-payment, suspected fraud, legal requests, or security reasons with or without notice.
  • Upon termination, platform access may cease and we may retain records as required by law (e.g., tax/AML retention).
  • Outstanding orders must be fulfilled or formally cancelled; outstanding payments remain due.

Dispute Resolution

  1. Contact us first to resolve issues in good faith using the contact details below.
  2. If unresolved, disputes will be subject to the jurisdiction of the competent courts of Riyadh, Saudi Arabia, unless mandatory law provides otherwise.
  3. We may offer mediation or arbitration options in the future; if so, details will be provided before application.

Nothing restricts your statutory rights under applicable Saudi law, including your right to file complaints with regulatory authorities.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict of laws principles.

Changes to These Terms

We may update these Terms to reflect changes in our services, legal requirements, or business needs.

When we make material changes, we will update the "Last Updated" date and provide at least 30 days' notice via email, in-platform notification, and a banner on the website.

For non-material changes (typos, formatting, clarifications), we may update without notice. The latest version is always available on this page.

You are encouraged to review these Terms periodically. Your continued use after the effective date constitutes acceptance.
